1. Acceptance of Terms
By accessing or using the Nousvia Health platform, websites, SMART-on-FHIR applications, and APIs (collectively, the "Services"), you agree to be bound by these Master Terms of Service. If you are entering into this agreement on behalf of a health system, clinic, or corporate entity, you represent that you possess the authority to bind such entity.
2. Enterprise SaaS Agreement Precedence
For enterprise healthcare clients, in the event of any conflict between these online Terms and an executed Master Services Agreement (MSA) or Business Associate Agreement (BAA), the terms of the executed MSA and BAA shall govern and control.
3. Clinical Information & Physician Responsibility
Nousvia provides clinical revenue intelligence and administrative workflow automation software. While our models operate with proven high accuracy (>96.8%), ultimate clinical diagnosis, medical care delivery, and final billing submission remain under the licensed oversight and responsibility of the treating healthcare providers and certified HIM personnel.
4. Intellectual Property
NOUSVIA AI PRIVATE LIMITED retains all rights, title, and interest in and to the platform, underlying machine learning models, algorithms, documentation, and user interfaces, including all intellectual property rights therein.
5. Governing Law and Jurisdiction
These Terms and any dispute arising from the use of the platform shall be governed by and construed in accordance with the laws of India under the Companies Act, 2013, with jurisdiction in Uttar Pradesh / New Delhi, without giving effect to any principles of conflicts of law.
